The following User Agreement describes all terms and conditions applicable to your use of the Trosworld portal and website, and participation in the e-commerce activities facilitated by Trosworld. By using the services on Trosworld, you are agreeing to the following terms and the general principles for the website. Trosworld reserves the right to modify or amend this User Agreement at any time. Notice of changes to User Agreement will be communicated to you in advance and following such changes you may be asked to confirm your acceptance of the modified User Agreement. All changes will be effective immediately upon their implementation. You agree that by accessing or using the Trosworld Website without any objection following posting of such changes, constitutes your acceptance of the revised terms. While using Trosworld you are not allowed to: - upload, publish, post, distribute or disseminate any material that abuses, harasses, stalks, threatens, or otherwise violates the legal rights of others. - upload, publish, post, distribute or disseminate any content that is otherwise deemed as pornographic and/or obscene by Trosworld. This includes but is not limited to commercial pornography, pedophilia, incest, bestiality, child pornography, or anything similar that violates any applicable laws. Trosworld will report any evidence of child pornography along with all known user identification and information to the relevant law enforcement agencies. - upload, publish, post, distribute or disseminate any material that promotes hatred towards groups based on race or ethnic origin, religion, disability, gender, age, and sexual orientation/gender identity. - upload, publish, post, distribute or disseminate any third party files and or content that contain material, in any form, protected by intellectual property laws (or by rights of privacy and/or publicity) unless you own or control the rights thereto or have received all necessary consents. You may not post private individual or company information without the expressed permission of such parties. - upload, publish, post, distribute or disseminate any material that is used for unlawful purposes or for the promotion of dangerous and illegal activities. - use Trosworld for the transmission of spam and/or any type of viral marketing and/or pyramid scheme. - use Trosworld to harvest or otherwise collect information about others, including e-mail addresses, without their consent - upload, publish, post, distribute or disseminate any unauthorized private, confidential and personal information about others. 1.0 DESCRIPTION "User" means an entity using Trosworld.com. "Scandic Corporation (M) Sdn Bhd� (referred to as �SKC Corp (M) Sdn Bhd�), the company producing and managing the Trosworld.com service. 2.0 REGISTRATION AND ELIGIBILITY Trosworld is available only to registered users and is not available to children (persons under the age of 18), unless under the supervision of a parent or legal guardian. The Website may also not be available to you if your registration has been temporarily or indefinitely suspended or terminated. To register you must provide your e-mail address and create a password, along with activation your registration through email. All registration information is subject to Trosworld Privacy Policy. You will need an email address as your user ID, and password to access your account and to use the free website and services provided by Trosworld. You are responsible for all activity that takes place under your user account. It is your responsibility to maintain the confidentiality of your password and if you become aware of any unauthorized use of your website using your password or account, you must notify Trosworld immediately at : contactus@trosworld.com. You may not transfer, assign, or sell your account to any third party. You must provide accurate and current information to us to open and maintain your account. If you provide any information that is false, misleading, inaccurate, or outdated, Trosworld may suspend or terminate your account and deny you access to the Website. If you are using or registering with Trosworld on behalf of a business entity, you represent and warrant to SKC Corp (M) Sdn Bhd that you have the requisite authority to bind such business entity to this Agreement. 3.0 PRICING Pricing for the various levels of Trosworld.com subscriptions is contained on the Trosworld.com site. SKC Corp (M) Sdn Bhd reserves its rights to change pricing at any time at its absolute discretion. However, a User will not be bound by new prices unless and until the following procedures have been applied: The User is given at least 1 week notice (by email notification) of an intended price change. In this time the User may choose to cancel their subscription. 4.0 CONTENT When you provide content to Trosworld, in the form of information on an item that is for sale or otherwise, you grant us with a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub licensable right to use, post, display, copy, modify the format of, reproduce, and distribute as necessary to maintain the website, manage auction, and conduct business anticipated by this Agreement.. SKC Corp (M) Sdn Bhd is not responsible for and shall have no liability for, for any User Content, including defamatory, offensive or illicit material and that risk of damages from such material rests entirely with you. You are solely responsible for any of your User Content and shall indemnify, defend and hold harmless SKC Corp (M) Sdn Bhd and its officers, directors, employees, affiliates, representatives and agents from any and all losses, expenses, third-party claims, liability, damages and costs (including, but not limited to, attorneys� fees) arising from any third party claim or allegation that the User Content infringes any patent, copyright, trade secret, privacy, trademark or other proprietary right of such third party. SKC Corp (M) Sdn Bhd reserves the right to take down or not otherwise allow items for sale or other User Content that is unlawful, offensive or otherwise impermissible in our sole discretion. 5.0 FREE TRIAL PERIOD SKC Corp (M) Sdn Bhd reserves its right to do everything necessary to avoid abuse of the free trial period, if there is any, including without limitation: SKC Corp (M) Sdn Bhd reserved its right to refuse a free trial period to any User at SKC Corp (M) Sdn Bhd absolute discretion. This right maybe exercised where it appears that a User is trying to use multiple free periods under different names; where the User has uploaded copyright material to which they do not own the rights or own rights to use; where the User has uploaded offensive or illegal material, or material inciting illegal behaviour, where the User has attempted to upload Viruses, or Trojans to corrupt, damage or compromise the Trosworld.com hosting infrastructure, or for other reasons at SKC Corp (M) Sdn Bhd discretion. (Please note that if SKC Corp (M) Sdn Bhd suspects this behaviour has been intentional it will ask police to initiate criminal investigations). At the conclusion of the free trial period no fees are payable unless the User chooses to sign up. (i.e. do nothing and no liability). 6.0 UNAVAILABILITY From time to time information that would normally be available through the site (including supplier's catalogs) may not be able to be accessed online because of technical or other problems. SKC Corp (M) Sdn Bhd expressly excludes liability to any user of this site in respect of the unavailability of content regardless of whether or not this unavailability is caused by the negligence of SKC Corp (M) Sdn Bhd. 7.0 CURRENCY All references to currency herein are to lawful money of Malaysia i.e. Ringgit Malaysia 8.0 INDEMNITY The User agrees to indemnify SKC Corp (M) Sdn Bhd against any claim for loss or damage of any kind by any third party arising out of, or in relation to, the use of Trosworld.com by the User. 9.0 COPYRIGHT SKC Corp (M) Sdn Bhd retains copyright in all template styles and designs displayed by Trosworld.com on your site. 10.0 OWNERSHIP OF URL�s SKC Corp (M) Sdn Bhd may from time to time register specific URL's to be used in your Trosworld.com catalogue to increase search engine rankings. SKC Corp (M) Sdn Bhd retain ownership of all URL's created, as this is not part of the core service covered by the Trosworld.com pricing. 11.0 SPECIFIC USE You further agree not to use the website to send or post any message or material that is unlawful, harassing, defamatory, abusive, indecent, threatening, harmful, vulgar, obscene, sexually orientated, racially offensive, profane, pornographic or violates any applicable law and you hereby indemnify SKC Corp (M) Sdn Bhd against any loss, liability, damage or expense of whatever nature which the SKC Corp (M) Sdn Bhd or any third party may suffer which is caused by or attributable to, whether directly or indirectly, your use of the website to send or post any such message or material. 12.0 PRIVACY By agreeing to this User Agreement you are also agree to the use of your personal and other information in accordance with the Trosworld Privacy Policy. 13.0 DISCLOSURES This Trosworld.com Website and the services hereunder are offered by SKC Corp (M)Sdn Bhd, located at 13A-4 Block D2, Jalan PJU 1/39, Dataran Prima 47301 Petaling Jaya, Selangor, Malaysia. You may have this information e-mailed to you by sending a letter to the foregoing address, including your e-mail address and a request for this information. 14.0 WARRANTY The features and services of the Trosworld.com Website are provided on a basis and disclaims all warranties, express or implied, with respect to this Website, and any User Content posted on this Website, and to any information available on this Website, including all implied warranties of merchantability, fitness for a particular purpose, title and non-infringement. SKC Corp (M) Sdn Bhd makes no warranties, representations, statements or guarantees (whether express, implied in law or residual) regarding the website, the information contained on the website, your or your company's personal information or material and information transmitted over our system. Any material downloaded or otherwise obtained through the Website is done solely at your discretion and risk. You are solely responsible for any damage to your computer system or loss of data that may result from the download of any such material. 15.0 DISCLAIMER OF LIABILITY SKC Corp (M) Sdn Bhd shall not be responsible for and disclaims all liability for any loss, liability, damage (whether direct, indirect or consequential), personal injury or expense of any nature whatsoever which may be suffered by you or any third party (including your company), as a result of or which may be attributable, directly or indirectly, to your access and use of the website, any information contained on the website, your or your company's personal information or material and information transmitted over our system. Any provision of any relevant terms and conditions, policies and notices, which is or becomes unenforceable in any jurisdiction, whether due to voidness, invalidity, illegality, unlawfulness or for any reason whatever, shall, in such jurisdiction only and only to the extent that it is so unenforceable, be treated as pro non scripto and the remaining provisions of any relevant terms and conditions, policies and notices shall remain in full force and effect. 22.0 APPLICABLE LAWS Any relevant terms and conditions, policies and notices shall be governed by and construed in accordance with the laws of Malaysia without giving effect to any principles of conflict of law. You hereby consent to the exclusive jurisdiction of the High Court of Malaysia in respect of any disputes arising in connection with the website, or any relevant terms and conditions, policies and notices or any matter related to or in connection therewith.
